Thelen Team Closes Registered Direct Offering for China-based Client

WASHINGTON, DC, SHANGHAI, and NEW YORK -- A Thelen team recently closed a registered direct offering for China-based, NASDAQ-listed client ,China BAK Battery, Inc.

The offering raised gross proceeds of $16 million to China BAK, before placement agent and legal fees and certain other deductions. China BAK sold 4,102,564 registered shares of its common stock at a price at $3.90 per share, and warrants to purchase 4,102,564 registered shares of common stock, in the aggregate, at a price of $3.90 per share, exercisable for 60 days following issuance.

China BAK sold these registered securities to certain investors under a prospectus and prospectus supplement filed pursuant to its effective Form S-3 shelf registration statement.

Thelen's team for China BAK included Woon-Wah Siu and Fang Fang in the Shanghai office, Louis Bevilacqua, Joe Kaufman, Geoff Perkins, and Andrea Schroepfer in the DC office, and Lal Mack in the New York office.

In a comment on China BAK's registered direct offering, Mr. Bevilacqua said, "Our PRC legal professionals and U.S. securities experts have once again shown that Thelen has a leading China securities practice. Both of these resources were crucial in conducting the due diligence and preparation of transactional and regulatory documents needed to close this financing on a short timetable."

China BAK is one of the largest manufacturers of lithium-based battery cells in the world, as measured by production output, and is the largest manufacturer of lithium-ion battery cells for China's cellular phone replacement battery market.

The company produces battery cells that are the principal component of rechargeable batteries commonly used in cellular phones, notebook computers and portable consumer electronics, such as portable media devices and PDAs (Personal Digital Assistants). Proceeds from the registered direct offering will be used primarily to fund expansion of China BAK's notebook and cell lines.
