Contract with Perot Systems to Produce $150 million of Administrative Cost Savings
'NEW YORK (April 22, 2008) Thelen LLP has assisted long-time client Harvard Pilgrim Health Care in negotiating a $1 billion contract extension with Texas-based Perot Systems Corporation for IT and Business Process Services.
Under the new contract, Harvard Pilgrim will realize approximately $150 million in administrative cost savings over the life of the agreement through the consolidation and leveraging of its technology, administrative functions and redesign of administrative operations. Perot Systems will operate and support Harvard Pilgrim's information technology infrastructure, business applications and administrative business operations.
Representing Harvard Pilgrim in the deal was Thelen partner Kenneth Adler, Chair of the firm's Outsourcing Group and an authority on complex global and domestic outsourcing transactions. Mr. Adler was assisted in the deal by Thelen partner Steve Semerdjian, who also concentrates on complex outsourcing and IT matters. The Thelen team worked closely with the legal team from Harvard Pilgrim, led by General Counsel Laura Peabody, to create an agreement that is closely aligned with Harvard Pilgrim's business goals, including long term operations and IT strategies.
Harvard Pilgrim CEO Charles Baker praised Mr. Adler's handling of the deal. "Ken was a key adjunct to HPHC's team and instrumental in steering us through this unique and complex transaction," Mr. Baker said. Harvard Pilgrim General Counsel Laura Peabody agreed, "Ken has an acute knowledge of the outsourcing industry and current trends. Mr. Adler said, "the size, scope and mission critical nature of the deal to Harvard Pilgrim required an agreement that would address Harvard Pilgrim's current and long term business needs. This deal does accomplishes that based on the hard work of Harvard Pilgrim team and Perot Systems' desire to address Harvard Pilgrim's outsourcing goals." As to working with Harvard Pilgrim, Mr. Adler said, " I have enjoyed an ongoing relationship with Harvard Pilgrim and am pleased that Harvard Pilgrim turned to us to assist on this critical agreement that addresses HPHC's core business.". Harvard Pilgrim is a not-for-profit health plan that provides a variety of health benefit options and funding arrangements to more than 1 million members in Massachusetts, New Hampshire and Maine.
